1. What Is a SAFE?
A SAFE (Simple Agreement for Future Equity) is an investment instrument that gives an investor the right to receive equity shares in a company at a future date, triggered by a qualifying financing event. It is not a loan — there is no interest, no repayment obligation, and no maturity date. It is not yet equity — the investor does not become a shareholder at the time of signing.
The SAFE was pioneered by Y Combinator as a founder-friendly, lawyer-light alternative to convertible notes. It is now the standard pre-seed investment instrument for early-stage startups globally, and is increasingly used in African startup ecosystems. EduCreds has selected the post-money SAFE structure, which gives investors greater clarity on their ownership percentage at the time of investment.
2. What You Receive as a SAFE Investor
- The right to receive equity in EduCreds Labs at the next qualifying financing event (a priced equity round of a minimum size to be defined in the SAFE instrument)
- Conversion at the valuation cap — your investment converts to shares at a price calculated using the lower of (a) the cap valuation or (b) the actual round valuation, meaning the cap protects you if EduCreds raises at a higher valuation
- MFN (Most Favored Nation) protection — if EduCreds offers more favourable SAFE terms to any subsequent investor before the SAFE converts, your terms are automatically updated to match
- Pro-rata rights — the right to invest additional capital in the qualifying financing round to maintain your percentage ownership
- Information rights — annual financial summary from EduCreds for the duration your SAFE is outstanding
- Liquidity event protection — if EduCreds is acquired before conversion, you receive back the greater of your investment or the conversion value
3. What You Do NOT Receive (Yet)
- No shares today — you are not a shareholder until the SAFE converts at a qualifying financing event
- No voting rights — you have no right to vote on company decisions before conversion
- No board seat — SAFE investors do not have board representation rights
- No interest — the SAFE is not a debt instrument; no interest accrues on your investment
- No maturity date — there is no date by which EduCreds must return your money or convert the SAFE; the SAFE remains outstanding until a qualifying event occurs
- No guaranteed return — the SAFE is a risk investment; you may lose your entire investment if EduCreds fails

5. Conversion Mechanics — Worked Example
The post-money valuation cap of $2,500,000 means your SAFE converts using a price per share calculated on a $2.5M post-money valuation — even if EduCreds raises its next round at a higher valuation. This is the investor's protection: you benefit from the lower conversion price if the company has grown in value.
Example A — EduCreds raises Seed at $5M pre-money ($5.5M post-money)
If the SAFE had converted at the actual $5.5M post-money valuation, SAFE holders would receive only 1.36%. The cap protects the investor by ensuring conversion at $2.5M regardless of how high the round values the company.
Example B — EduCreds raises Seed at $2M pre-money (below the cap)
When the actual valuation is below the cap, conversion happens at the actual (lower) price — better for the investor.
6. Liquidity Event Treatment
If EduCreds is acquired, merges, or undergoes an IPO before the SAFE converts in a financing round, the SAFE investor receives the greater of:
- Return of investment: The original investment amount ($50,000 or $25,000 per tranche), as a return of capital; or
- Conversion to equity at cap: The value of converting your SAFE to equity at the $2.5M cap and receiving proceeds as an equity holder in the liquidity event
The investor receives whichever outcome is more valuable — this provides a floor protection on capital in a liquidity event.
7. Why a SAFE?
- Standard for pre-seed: SAFE is the dominant instrument globally for pre-seed investment — used by thousands of YC, Techstars, and accelerator-backed companies annually
- No maturity risk: Unlike convertible notes, there is no maturity date — EduCreds cannot be forced to repay the investment on a timeline, reducing existential risk at the earliest stage
- Low legal cost: A standardised SAFE requires minimal legal negotiation, reducing cost for both parties
- Post-money cap clarity: The post-money structure gives investors clear visibility on their minimum ownership percentage at the time they sign — no ambiguity about dilution from other SAFEs
- Aligned incentives: SAFE holders benefit from the company's growth — the higher EduCreds' valuation at the next round, the more the cap protection is worth
8. Risks — Honest Assessment
- No guaranteed conversion: The SAFE converts only at a qualifying financing event. If EduCreds does not raise a further priced round, the SAFE may never convert to equity.
- No equity today: Until conversion, you hold no shares, no voting rights, and no board representation. You have limited ability to influence company decisions.
- EduCreds may not raise further funding: If EduCreds fails to raise the Seed round, the SAFE remains outstanding indefinitely — or the company fails and investment is lost.
- Pre-revenue stage: EduCreds has no paying customers at the time of this SAFE issuance. There is material risk that commercial traction does not develop as projected.
- Incorporation in progress: EduCreds is not yet formally incorporated under URSB at the time of Tranche 1 fundraising. Incorporation is a Tranche 1 deliverable. Investment may be made to founders personally pending incorporation completion.
- Illiquid investment: There is no secondary market for SAFE instruments. Your investment is illiquid until conversion or a liquidity event.
- Uganda legal framework: Uganda's startup and fintech legal frameworks are developing. Regulatory changes could affect EduCreds' operations or the enforceability of SAFE terms.
9. Legal Note
This summary is provided for investor orientation purposes and does not constitute legal or financial advice. The formal SAFE instrument, once finalised by EduCreds' legal counsel, is the binding agreement governing investor rights.
This SAFE template is adapted from Y Combinator's post-money SAFE for use under Uganda law. Legal review by qualified Ugandan counsel is in progress as part of Tranche 1 activities (incorporation and legal compliance: $5,000 budgeted).
All investors are strongly encouraged to seek independent legal advice before signing any SAFE instrument. Contact EduCreds at admin@educreds.xyz to request the draft SAFE instrument for legal review.
